The Appellant reported that he had filed a complaint at the State Ethics Commission regarding the Respondents actions regarding his bypass. The complaint is not included in the record as Appellants counsel expressed some concern about whether it constitutes a public record. However, on representation of counsel, I have no reason to doubt that the Appellant filed such a complaint.

State Ethics Commission, 414 Mass. 582, 587 (1993) (finding that whether an entity performs some essentially governmental function is one of the factors to determine whether that entity is subject to the state Conflict of Interest Law, G.L. c. 268A). While the Committee provides a public service by supporting non-profit organizations and programming, these services are not essentially a function of government.

We refer the complainant to the State Ethics Commission, which enforces the Commonwealths Conflict of Interest Law. See OML 2013-54. 5 3 Housatonic River. We find that the executive session discussions were appropriate under Purpose 3 because they related to pending litigation and a settlement agreement that was a proposed resolution to that litigation. Accordingly, the Board did not violate the Open Meeting Law by meeting in executive session.
